These Terms and Conditions govern the supply of services by Go Automation AI Ltd to its clients. By signing a Service Agreement or using our platform, you agree to be bound by these Terms.
1. Definitions
"Go Automation" means Go Automation AI Ltd, Suite A4, Skylon Court, Coldnose Road, Rotherwas, Hereford, England HR2 6JS.
"Client" means the business or individual entering into a Service Agreement with Go Automation.
"Services" means the AI-powered automation platform, WhatsApp communications, CRM automation, and related services described in the Service Agreement.
"Platform" means the software and systems used to deliver the Services.
"Service Agreement" means the order form, proposal or agreement setting out the specific services, fees and terms agreed between the parties.
"Confidential Information" means any non-public information disclosed by either party in connection with the Services.
2. The Services
Go Automation will provide the Services as described in the Service Agreement. We reserve the right to update, modify or improve the Platform from time to time. Where a change materially affects the Services, we will provide reasonable notice. The Services are provided to business clients only. Go Automation does not supply services directly to consumers.
3. Setup and Onboarding
Where a setup fee is payable, this is due prior to commencement of onboarding. Setup fees are non-refundable once onboarding has commenced. Go Automation will use reasonable endeavours to complete onboarding within the timescales agreed, subject to timely provision of information and access by the Client.
4. Fees and Payment
Fees are as set out in the Service Agreement and are quoted exclusive of VAT.
Monthly subscription fees are payable in advance by direct debit or other agreed method.
Invoices are due within 14 days of the invoice date unless otherwise agreed.
Go Automation reserves the right to suspend Services where payment is overdue by more than 14 days, following written notice.
Fees may be reviewed annually. Go Automation will provide a minimum of 30 days' written notice of any fee increase.
5. Client Obligations The Client agrees to:
Provide accurate information required for setup and ongoing delivery of the Services
Ensure that use of the Platform complies with applicable laws and regulations, including FCA rules where the Client is a regulated firm
Obtain all necessary consents from end customers before using the Platform to communicate with them
Not use the Platform to send unsolicited communications, spam, or content that is unlawful, misleading, or harmful
Maintain the security of login credentials and notify Go Automation promptly of any suspected unauthorised access
Comply with Meta's WhatsApp Business policies where WhatsApp messaging is used
6. WhatsApp and Meta Platform Rules
Where the Services include WhatsApp Business messaging, the Client acknowledges that:
Use of WhatsApp is subject to Meta's WhatsApp Business Policy and Terms of Service
Message templates must be approved by Meta prior to use
Go Automation cannot guarantee delivery of WhatsApp messages, as delivery depends on Meta's infrastructure and the recipient's device
Meta may suspend or restrict WhatsApp access for policy violations, and Go Automation accepts no liability for such actions where they result from the Client's conduct
7. Artificial Intelligence
The Platform incorporates AI capabilities provided by third-party large language model providers. The Client acknowledges that:
AI-generated content may occasionally be inaccurate or require human review
The Client is responsible for reviewing AI outputs before acting on them in regulated contexts
Go Automation does not warrant that AI responses will be error-free
AI services operate within workflows configured by Go Automation on the Client's behalf
8. Intellectual Property
All intellectual property rights in the Platform, including software, workflows, templates and documentation created by Go Automation, remain the property of Go Automation AI Ltd. The Client retains ownership of its own data, content and branding. The Client grants Go Automation a licence to use such materials solely for the purpose of delivering the Services.
9. Confidentiality
Each party agrees to keep the other's Confidential Information confidential and not to disclose it to third parties without prior written consent, except where required by law or to deliver the Services. This obligation survives termination of the Service Agreement.
10. Data Protection
The parties' respective obligations in relation to personal data are set out in the Data Processing Agreement (DPA), which forms part of the contract between the parties. In the event of conflict between these Terms and the DPA on data protection matters, the DPA shall prevail.
11. Limitation of Liability To the fullest extent permitted by law:
Go Automation's total liability to the Client in any 12-month period shall not exceed the total fees paid by the Client to Go Automation in that period
Go Automation shall not be liable for any indirect, consequential, special or punitive loss, including loss of profit, loss of revenue, or loss of data
Go Automation does not exclude liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law
The Client is responsible for ensuring the Services are appropriate for its regulated activities. Go Automation does not provide legal, financial or compliance advice.
12. Availability and Uptime
Go Automation will use reasonable endeavours to maintain Platform availability. The Platform may occasionally be unavailable due to scheduled maintenance, third-party outages or circumstances beyond our control. Go Automation will endeavour to provide advance notice of planned maintenance where practicable.
13. Term and Termination
The Service Agreement commences on the start date specified and continues for the minimum term agreed (if any), then on a rolling monthly basis.
Either party may terminate on not less than 30 days' written notice following any minimum term.
Go Automation may terminate immediately on written notice if the Client materially breaches these Terms and fails to remedy the breach within 14 days of notice.
On termination, the Client's access to the Platform will cease and outstanding fees will become immediately due.
Provisions that by their nature should survive termination — including confidentiality, intellectual property, data protection and liability — will continue to apply.
14. Force Majeure
Neither party shall be liable for failure or delay in performing its obligations where such failure results from circumstances beyond its reasonable control, including acts of God, pandemic, telecommunications failure, or regulatory action.
15. Variations
Go Automation may update these Terms from time to time. We will provide at least 30 days' written notice of material changes. Continued use of the Services after that period constitutes acceptance of the updated Terms.
16. Entire Agreement
These Terms, together with the Service Agreement and DPA, constitute the entire agreement between the parties and supersede all prior discussions, representations or agreements relating to the Services.
17. Governing Law and Disputes
These Terms are governed by the laws of England and Wales. Any dispute that cannot be resolved by discussion between the parties shall be subject to the exclusive jurisdiction of the courts of England and Wales.
